Reseller Terms

1. Reseller Tiers
Below are the list of tiers and the general benefits associated with each tier.
1.1 Platinum Tier
• Discount: 30% on all orders
• Shipping Time: 1 week
• Shipping Costs: Free shipping on all orders, regardless of order size
1.2 Gold Tier
• Discount: 25% on all orders
• Shipping Time: 2 weeks
• Shipping Costs: Free shipping on orders of 1,000 USD or more; shipping charges apply for orders under 1,000 USD
1.3 Silver Tier
• Discount: 20% on all orders
• Shipping Time: 3 weeks
• Shipping Costs: All orders incur shipping charges (no free shipping benefit)
2. Annual Tier Evaluation
2.1. Initial Platinum Status
• All new resellers initially start at our Platinum Tier to ensure they begin our partnership with the most advantageous terms.
2.2. Tier Review at End of Each Year
• At the end of each calendar year, we review the total order volume for every reseller and may adjust tiers accordingly. The exact sales thresholds for Platinum, Gold, and Silver are revised annually.
2.3. 2025 Thresholds
• Platinum: Resellers who exceed 100K USD in total orders during 2025 will continue (or remain) in Platinum Tier for the following year.
• Gold: Resellers who exceed 50K USD (but do not exceed 100K USD) in total orders during 2025 will continue (or remain) in Gold Tier for the following year.
• Silver: Resellers who do not meet 50K USD in total orders during 2025 will continue (or remain) in Silver Tier.
2.4. Future Thresholds
• Please note these thresholds are specific to 2025 and will be updated each year based on our annual evaluations. For upcoming years, new thresholds for Platinum, Gold, and Silver tiers will be announced in advance.
3. End User Discounts and End User Pricing
3.1. Minimum Advertised Price
• We request that resellers do not list edelkrone products at prices below those published on our website.
3.2. Discount Campaigns and Customs Duties or VAT Subventions
• We will ensure our resellers have the same opportunities to run discount campaigns, bundle offers, and subventions as those offered on our direct sales site.
• Resellers are free to create their own product bundles and offer bundle discounts to their customers, provided they adhere to the following core rule that defines what qualifies as a bundle:
A bundle is defined as a shopping cart that includes at least one head device and at least one body device from our range of motorized motion control products.
Additional accessories specifically designed to work with these devices, as well as Tripod X, can also be included in the same cart and will be considered part of the bundle.
Bundles meeting this definition are eligible for a bundle discount, which we currently apply to such combinations on our direct sales site.
• While we have predefined certain bundles and names for direct sales purposes, our resellers are not limited to those configurations or names. As long as the above conditions are met, they may create and promote their own bundles and apply discounts accordingly.
• We will reimburse half of the total discount provided by the reseller in the form of additional discounts on future orders.
• To facilitate reimbursement, resellers must submit a report detailing the promotion, including a breakdown of the products sold, quantities, individual prices and the total discount amount provided to the end user.
• If the discounts offered to the end user exceed the value or frequency of the campaigns we run on our own site, we reserve the right to withhold the committed reimbursement for those excessive discounts.
4. Wholesales Orders and Payment
4.1. No Mandatory Purchase Quotas
• We do not have strict monthly quota requirements. However, the year-end total order value will affect the discount tier assignment.

4.5. Transfer Commissions and Fees
• All money transfer commissions and fees are the responsibility of the reseller.
4.6. Price Protection Guarantee
• For products in your stock for less than one month, we provide a price protection guarantee against permanent price drops.
5. Shipping and Customs
5.1. Shipping Fees
• Platinum Tier: Free shipping on all orders.
• Gold Tier: Free shipping on orders ≥ 1,000 USD; otherwise, shipping fees apply.
• Silver Tier: Shipping charges apply to all orders, no free shipping.
5.2. Shipping Times
• Platinum Tier: Orders shipped within 1 week.
• Gold Tier: Orders shipped within 2 weeks.
• Silver Tier: Orders shipped within 3 weeks.
5.3. Customs Fees
• Resellers are responsible for any applicable customs or import fees. All shipments are sent under DAP (Delivered At Place) terms.
6. Demo Products
6.1. Eligibility for Demo Units
• Resellers may request demo products if the total value of demos they currently hold is under 5% of their total orders in the last 12 months. Demo product requests can be made up to that 5% cap.
6.2. Display Requirement
• Resellers obtaining demo products must provide photographic or video proof of how these demos are being displayed. Failure to provide adequate proof may result in the demo units being invoiced.
7. Product Descriptions and Promotion
• We maintain the latest descriptions, images, and videos of our products on our website. Feel free to use this content to promote edelkrone products. Additionally, resellers are welcome to download content from our social media accounts and YouTube channel, re-edit and repurpose it as needed, and incorporate it into their own marketing materials to effectively promote edelkrone products.
8. Warranty and After-Sales Support
8.1. Products Under Warranty
• If a product under warranty experiences issues, we will, at our discretion:
• Arrange a free repair,
• Send free replacement parts, or
• Swap for a new unit at no cost.
8.2. Products Not Under Warranty
• For items no longer under warranty, we offer:
• Paid repair services,
• Replacement parts (quoted cost), or
• A replacement product. (quoted cost)
9. Reseller Listings
• While we cannot promise exclusive regional representation, we do list all active resellers on our website. If your company is missing from our listings, email us at wholesale@edelkrone.com to request inclusion.
10. Terms Changes and Termination
10.1. Amendments to Terms
• We reserve the right to change these Terms and Conditions at any time, always aiming to maintain a fair, mutually beneficial framework.
10.2. Right to Terminate
• Resellers may end their relationship with us at any time, for any reason. We do not issue refunds but do provide warranty coverage on applicable products.
